Common use of Non-solicitation of Customers or Employees Clause in Contracts

Non-solicitation of Customers or Employees. (1) Executive (i) while employed by the Company or any of its affiliates shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates and (ii) during the Restricted Period shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates with whom Executive, in the case of both clauses (i) and (ii) above, had or made material business contact with in the course of Executive’s employment by the Company within the 24 month period immediately preceding the beginning of the Restricted Period. (2) Executive (i) while employed by the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates to terminate his or her employment with such business and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may be, during the 12 month period immediately preceding the beginning of the Restricted Period, to terminate his or her employment with the Company or any of its affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contact.

(2) Executive (i) while employed by the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates to terminate his or her employment with such business and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may be, during the 12 twelve (12) month period immediately preceding the beginning of the Restricted Period, to terminate his or her employment with the Company or any of its affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contact.

Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contact.

(1) Executive (i) while employed by the Company or any of its affiliates Affiliates, shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliatesAffiliates), solicit business for or attempt to solicit on behalf of a Competing Business from customers of the Company or any of its Affiliates, or induce or attempt to induce any such customers or suppliers of the Company or any of its affiliates Affiliates to cease or reduce business with the Company or any of its Affiliates, or knowingly interfere with the relationship between any such customer, supplier or any other business relation and the Company or any such Affiliate, and (ii) during the Restricted Period shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for or attempt to solicit on behalf of a Competing Business from customers of the Company or any of its Affiliates with whom Executive had contact or made contact within the course of Executive’s employment by the Company or an Affiliate within the twenty-four month period immediately preceding the beginning of the Restricted Period, or induce or attempt to induce any such customers or suppliers of the Company or any of its affiliates Affiliates to cease or reduce business with whom Executive, in the case of both clauses (i) and (ii) above, had or made material business contact with in the course of Executive’s employment by the Company within or any of its Affiliates, or knowingly interfere with any relationship between any such customer, supplier or any other business relation and the 24 month period immediately preceding the beginning of the Restricted PeriodCompany or any such Affiliate. (2) Executive (i) while employed by the Company or any of its affiliates Affiliates shall not, either directly or indirectly, except in the interest of the Company or any of its Affiliates, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates Affiliates to terminate his or her employment or relationship with the Company or any such business Affiliate and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may beperson who is or, during the 12 twelve month period immediately preceding the beginning of the Restricted Period, was an officer, employee or independent contractor of the Company or any of its Affiliates to terminate his or her employment or relationship with the Company or any of its affiliates Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing herein shall prohibit any person from independently contacting Executive about employment or other engagement during the Restricted Period, Period provided that Executive does not solicit the or initiate such contact.

Non-solicitation of Customers or Employees. (1) Executive (i) while employed by the Company or any of its affiliates Affiliates, shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliatesAffiliates), solicit business for or attempt to solicit on behalf of a Competing Business from customers of the Company or any of its Affiliates, or induce or attempt to induce any such customers or suppliers of the Company or any of its affiliates Affiliates to cease or reduce business with the Company or any of its Affiliates, or knowingly interfere with the relationship between any such customer, supplier or any other business relation and the Company or any such Affiliate, and (ii) during the Restricted Period shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for or attempt to solicit on behalf of a Competing Business from customers of the Company or any of its Affiliates with whom Executive had contact or made contact within the course of Executive’s employment by the Company or an Affiliate within the twenty-four month period immediately preceding the beginning of the Restricted Period, or induce or attempt to induce any such customers or suppliers of the Company or any of its affiliates Affiliates to cease or reduce business with whom Executive, in the case of both clauses (i) and (ii) above, had or made material business contact with in the course of Executive’s employment by the Company within or any of its Affiliates, or knowingly interfere with any relationship between any such customer, supplier or any other business relation and the 24 month period immediately preceding the beginning of the Restricted Period. (2) Company or any such Affiliate. Executive (i) while employed by the Company or any of its affiliates Affiliates shall not, either directly or indirectly, except in the interest of the Company or any of its Affiliates, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates Affiliates to terminate his or her employment or relationship with the Company or any such business Affiliate and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may beperson who is or, during the 12 twelve month period immediately preceding the beginning of the Restricted Period, was an officer, employee or independent contractor of the Company or any of its Affiliates to terminate his or her employment or relationship with the Company or any of its affiliates Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing herein shall prohibit any person from independently contacting Executive about employment or other engagement during the Restricted Period, Period provided that Executive does not solicit the or initiate such contact.

Non-solicitation of Customers or Employees. (1) Executive Green (i) while employed by providing services to the Company or any of its affiliates shall not, on ExecutiveGreen’s own behalf or on behalf of any person, firm, partnership, association, corporation corporation, or business organization, entity entity, or enterprise (other than the Company or one of its affiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates and (ii) during the Restricted Period shall not, on ExecutiveGreen’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates with whom ExecutiveGreen, in the case of both clauses (i) and (ii) above, had or made material business contact with in within the course of ExecutiveGreen’s employment service by the Company within the 24 24-month period immediately preceding the beginning of the Restricted Period. (2) Executive Green (i) while employed by providing services to the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit solicit, or attempt to induce any other officer, employee employee, or independent contractor of the Company or any of its affiliates to terminate his or her employment with such business and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee employee, or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit solicit, or attempt to induce any other officer, employee employee, or independent contractor of such business with whom Executive Green had contact, knowledge of, or association in the course of ExecutiveGreen’s employment service with the Company or any of its predecessors or affiliates, as the case may be, during the 12 12-month period immediately preceding the beginning of the Restricted Period, to terminate his or her employment with the Company or any of its affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee employee, or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive Green about employment or other engagement during the Restricted Period, provided that Executive Green does not solicit the contact.

(1) Executive (i) while employed by the Company or any of its affiliates shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or . enterprise (other than the Company or one of its affiliatesAffiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates Affiliates and (ii) during the Restricted Period period of twenty-four months following the Termination Date shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates Affiliates with whom Executive, in Executive within the case of both clauses (i) and (ii) above, twenty-four month period immediately preceding the Termination Date had or made material business contact with in the course of Executive’s employment by the Company within the 24 month period immediately preceding the beginning of the Restricted PeriodCompany. (2) Executive (i) while employed by the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates Affiliates to terminate his or her employment or engagement with such business the Company or any of its Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employmentemployment or engagement), and (ii) during the Restricted Periodperiod of twenty-four months following the Termination Date, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business the Company or any of its Affiliates with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliatesCompany, as the case may be, during the 12 12-month period immediately preceding the beginning of the Restricted PeriodTermination Date, to terminate his or her employment or engagement with the Company or any of its affiliates Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contactengagement).

(1) Executive Xxxxx (i) while employed by providing services to the Company or any of its affiliates shall not, on Executive’s Xxxxx’ own behalf or on behalf of any person, firm, partnership, association, corporation corporation, or business organization, entity entity, or enterprise (other than the Company or one of its affiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates and (ii) during the Restricted Period shall not, on Executive’s Xxxxx’ own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates with whom ExecutiveXxxxx, in the case of both clauses (i) and (ii) above, had or made material business contact with in within the course of Executive’s employment Xxxxx’ service by the Company within the 24 24-month period immediately preceding the beginning of the Restricted Period. (2) Executive Xxxxx (i) while employed by providing services to the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit solicit, or attempt to induce any other officer, employee employee, or independent contractor of the Company or any of its affiliates to terminate his or her employment with such business and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee employee, or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit solicit, or attempt to induce any other officer, employee employee, or independent contractor of such business with whom Executive Xxxxx had contact, knowledge of, or association in the course of Executive’s employment Xxxxx’ service with the Company or any of its predecessors or affiliates, as the case may be, during the 12 12-month period immediately preceding the beginning of the Restricted Period, to terminate his or her employment with the Company or any of its affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee employee, or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive Xxxxx about employment or other engagement during the Restricted Period, provided that Executive Xxxxx does not solicit the contact.

Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Periodrestricted period, provided that Executive does not solicit the contact.

(2) Executive Executive, (i) while employed by the Company or any of its affiliates affiliates, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates to terminate his or her employment with such business and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), ) and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may be, during the 12 12-month period immediately preceding the beginning of the Restricted Period, to terminate his or her employment with the Company or any of its affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contact.

(1) Executive (i) while employed by the Company or any of its affiliates shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates and (ii) during the Restricted Period shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates with whom Executive, in the case of both clauses (i) and (ii) above, had or made material business contact with in the course of Executive’s employment by the Company within the 24 24-month period immediately preceding the beginning of the Restricted Period..  (2) Executive (i) while employed by the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates to terminate his or her employment with such business and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may be, during the 12 12-month period immediately preceding the beginning of the Restricted Period, to terminate his or her employment with the Company or any of its affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contact.. 

Non-solicitation of Customers or Employees. (1) Executive (i) while employed by the Company or any of its affiliates shall not, on Executive’s 's own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliatesAffiliates), solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates Affiliates and (ii) during the Restricted Period period of twenty-four months following the Termination Date shall not, on Executive’s 's own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for a Competing Business from customers or suppliers of the Company or any of its affiliates Affiliates with whom Executive, in Executive within the case of both clauses (i) and (ii) above, twenty­ four month period immediately preceding the Termination Date had or made material business contact with in the course of Executive’s 's employment by the Company within the 24 month period immediately preceding the beginning of the Restricted PeriodCompany. (2) Executive (i) while employed by the Company or any of its affiliates shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates Affiliates to terminate his or her employment or engagement with such business the Company or any of its Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employmentemployment or engagement), and (ii) during the Restricted Periodperiod of twenty-four months following the Termination Date, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business the Company or any of its Affiliates with whom Executive had contact, knowledge of, or association in the course of Executive’s 's employment with the Company or any of its predecessors or affiliatesCompany, as the case may be, during the 12 12-month period immediately preceding the beginning of the Restricted PeriodTermination Date, to terminate his or her employment or engagement with the Company or any of its affiliates Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing shall prohibit any person from contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the contactengagement).

(1) Executive (i) while employed by the Company or any of its affiliates Affiliates shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise (other than the Company or one of its affiliatesAffiliates), solicit business for or attempt to solicit on behalf of a Competing Business from customers of the Company or any of its Affiliates or induce or attempt to induce any such customers or suppliers of the Company or any of its affiliates Affiliates to cease or reduce business with the Company or any of its Affiliates, or knowingly interfere with the relationship between any such customer, supplier or any other business relation and the Company or any such Affiliate, and (ii) during the Restricted Period shall not, on Executive’s own behalf or on behalf of any person, firm, partnership, association, corporation or business organization, entity or enterprise, solicit business for or attempt to solicit on behalf of a Competing Business from customers of the Company or any of its Affiliates with whom Executive had or made contact within the course of Executive’s employment by the Company or an Affiliate within the twenty-four month period immediately preceding the beginning of the Restricted Period, or induce or attempt to induce any such customers or suppliers of the Company or any of its affiliates Affiliates to cease or reduce business with whom Executive, in the case of both clauses (i) and (ii) above, had or made material business contact with in the course of Executive’s employment by the Company within or any of its Affiliates, or knowingly interfere with any relationship between any such customer, supplier or any other business relation and the 24 month period immediately preceding the beginning of the Restricted PeriodCompany or any such Affiliate. (2) Executive (i) while employed by the Company or any of its affiliates Affiliates shall not, either directly or indirectly, except in the interest of the Company or any of its Affiliates, call on, solicit or attempt to induce any other officer, employee or independent contractor of the Company or any of its affiliates Affiliates to terminate his or her employment or relationship with the Company or any such business Affiliate and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment), and (ii) during the Restricted Period, shall not, either directly or indirectly, call on, solicit or attempt to induce any other officer, employee or independent contractor of such business with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its predecessors or affiliates, as the case may beperson who is or, during the 12 twelve month period immediately preceding the beginning of the Restricted Period, was an officer, employee or independent contractor of the Company or any of its Affiliates to terminate his or her employment or relationship with the Company or any of its affiliates Affiliates and shall not assist any other person or entity in such a solicitation (regardless of whether any such officer, employee or independent contractor would commit a breach of contract by terminating his or her employment). Notwithstanding the foregoing, nothing herein shall prohibit any person from independently contacting Executive about employment or other engagement during the Restricted Period, provided that Executive does not solicit the or initiate such contact.
