Common use of Non-Solicitation of Customers Clause in Contracts

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation of the Company to terminate its relationship or contract with the Company, to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees).

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, directly or indirectly, (i) solicit or induce, or attempt to solicit any Customer for purposes of providing products or induce, any customer, supplier, licensee, licensor or other business relation of services that are competitive with the products and services provided by the Company or (ii) induce or attempt to terminate its relationship induce any Customer to reduce or contract with the Company, to cease doing business with the Company, or in any way otherwise interfere with the relationship between any such customer, supplier, licensee or business relation Customer and the Company (including making any negative statements or communications concerning the Company or their employees)Company.

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, lender, supplier, licensee, licensor or other business relation of the Company Employers to terminate its relationship or contract with the CompanyEmployers, to cease doing business with the CompanyEmployers, or in any way interfere with the relationship between any such customer, lender, supplier, licensee or business relation and the Company Employers (including making any negative or derogatory statements or communications concerning the Company Employers or their directors, officers or employees).

Non-Solicitation of Customers. During Executive will refrain during the Restricted Period, the Executive shall notPeriod from, directly or indirectly, solicit diverting, taking, soliciting and/or accepting on Executive’s own behalf or induceon the behalf of another person or entity, the business of any past or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation present customer of the Company to terminate its relationship or contract with the Company, to cease doing business with its divisions and/or affiliates, or any identified prospective or potential customer of the Company, or in any way interfere with its divisions and/or affiliates, whose identity became known to Executive through Executive’s employment by the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)Company.

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, lender, supplier, licensee, licensor or other business relation of the Company Bank or the Corporation to terminate its relationship or contract with the CompanyBank or the Corporation, to cease doing business with the CompanyBank or the Corporation, or in any way interfere with the relationship between any such customer, lender, supplier, licensee or business relation and the Company Bank or the Corporation (including making any negative or derogatory statements or communications concerning the Company Bank or the Corporation or their directors, officers or employees).

During The Executive also agrees to refrain during the Restricted Period, the Executive shall notPeriod from, directly or indirectly, solicit diverting, taking, soliciting and/or accepting on the Executive’s own behalf or induceon the behalf of another person, the business of any past or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation present customer of the Company to terminate its relationship or contract with the Company, to cease doing business with its divisions and/or affiliates, or any identified prospective or potential customer of the Company, or in any way interfere with its divisions and/or affiliates, whose identity became known to the relationship between any such customer, supplier, licensee or business relation and Executive through the Company (including making any negative statements or communications concerning Executive’s employment by the Company or their employees)Company.

During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation of the Company or an Affiliate to terminate its relationship or contract with the CompanyCompany or an Affiliate, to cease doing business with the CompanyCompany or an Affiliate, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or an Affiliate (including making any negative statements or communications concerning the Company or an Affiliate or their employees).

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, directly or indirectly, indirectly solicit or induce, induce or attempt to solicit or induce, any customer, lender, supplier, licensee, licensor or other business relation of the Company or the Bank to terminate its relationship or contract contracts with the CompanyCompany or the Bank, to cease doing business with the CompanyCompany or the Bank, or in any way interfere with the relationship between any such customer, lender, supplier, licensee licensee, licensor or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)Bank.

Non-Solicitation of Customers. During the Restricted Restriction Period, the Executive shall nothereby agrees not to, in any manner, directly or indirectly, (i) solicit a customer or induce, prospective customer of the Company and its Affiliates to transact business with a Competitive Enterprise or to reduce or refrain from doing any business with the Company and its Affiliates or (ii) interfere with or damage (or attempt to solicit interfere with or induce, damage) any customer, supplier, licensee, licensor relationship between the Company and its Affiliates and a customer or other business relation prospective customer of the Company to terminate and its relationship or contract with the Company, to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)Affiliates.

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, directly or indirectly, on his own behalf or on behalf of any other person(s), solicit any former, current or induce, or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation prospective customer of the Company for the purpose of selling or supplying goods, products or services which are competitive to terminate its relationship or contract with the Companygoods, to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation products and services supplied by the Company (including making any negative statements or communications concerning at the Company or their employees)time of your termination.

During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, lender, supplier, licensee, licensor or other business relation of the Company Employers to terminate its relationship or contract with the CompanyEmployers, to cease doing business with the CompanyEmployers, or in any way interfere with the relationship between any such customer, lender, supplier, licensee or business relation and the Company Employers (including making any negative or derogatory statements or communications concerning the Company Employers or their directors, officers or employees).

Non-Solicitation of Customers. During the Restricted PeriodRestriction Period (other than in connection with carrying out the Executive’s responsibilities for the Company Group), the Executive shall not, not directly or indirectly, solicit or inducesolicit, or attempt to solicit or inducesolicit, any customer, supplier, licensee, licensor or other business relation from any customer of the Company to terminate its relationship Group, including actively seeking prospective customers, with whom the Executive had material contact with during the Executive’s employment for purposes of providing products or contract services that are competitive with those provided by the Company, ’s Group within the two years prior to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)Executive’s termination.

Non-Solicitation of Customers. During Executive agrees during the Restricted Period, the Executive shall not, Period not to directly or indirectly, by sole action or in concert with others, solicit or induce, or attempt to solicit the business of any customers or induce, any customer, supplier, licensee, licensor clients (and their successors or other business relation assigns) of the Company to terminate its relationship or contract with which the Company, to cease doing Company has done business with during the Company, prior one (1) year period from the date of the termination of this Agreement or in any way interfere with the relationship between any such customer, supplier, licensee for which Executive solicited orders (whether successful or business relation and not) on behalf of the Company (including making any negative statements during such period, with respect to products or communications concerning activities similar to those solicited by the Company or their employees)during such period.

During the Restricted Period, the Executive shall not, directly or indirectly, indirectly solicit or induce, induce or attempt to solicit or induce, any customer, lender, supplier, licensee, licensor or other business relation of the Company Employer to terminate its relationship or contract contracts with the CompanyEmployer, to cease doing business with the CompanyEmployer, or in any way interfere with the relationship between any such customer, lender, supplier, licensee licensee, licensor or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)Employer.

Non-Solicitation of Customers. During The Executive agrees that during the Restricted Period, the Executive shall not, directly or indirectly, for the Executive’s own benefit, on behalf of another, or to the detriment of the Company, solicit or inducefor any business purpose, divert, or attempt to solicit for any business purpose or induceattempt to divert, (1) any customer, supplier, licensee, licensor or other business relation customer of the Company to terminate its relationship or contract with the Company, to cease doing business with the Company, or (2) any potential customer of the Company, in any way interfere with either case in the relationship between any such customerRestricted Area, supplier, licensee or business relation and at the Company (including making any negative statements or communications concerning time of the Company or their employees)Executive’s termination.

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, without the prior written consent of the Company, directly or indirectly, solicit or contact, induce, solicit (or attempt aid or assist any other person or entity to solicit contact, induce or induce, solicit) any customer, supplier, licensee, licensor or other business relation customer of any of the Company to terminate its relationship Affiliated Entities or contract with any person or entity that was a customer of any of the Company, to cease doing business with the CompanyAffiliated Entities at any time during, or in within the twelve (12) months prior to the commencement of, the Restricted Period for the benefit or account of any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)Competitive Business.

Non-Solicitation of Customers. During the Restricted Period, the Executive shall not, individually or jointly, directly or indirectly, solicit or induceentice, or attempt to solicit or induceentice, any customercurrent or former customers, suppliersuppliers, licensee, licensor or other business relation relationships of the Company to terminate its relationship for purposes of diverting or contract otherwise reducing their business or services with the Company, to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees)provide or offer to provide any goods or services that relate to the Business to any current or former customers of the Company.
