Common use of Non-Solicitation of Customers Clause in Contracts

Non-Solicitation of Customers. During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other Person, anywhere in the Restricted Territory, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the business or relationship of the Company or any of its Affiliates with any Person which is or was a customer, client or distributor of the Company or any of its Affiliates at any time during which Executive was employed by the Company (in the case of any such activity during the period of Executive's employment with the Company) or during the twelve-month period preceding the Date of Termination (in the case of any such activity after the date of Executive's termination of employment), other than any such solicitation on behalf of the Company or any of its Affiliates during Executive's employment with the Company.

During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other Person, Person anywhere in the Restricted TerritoryUnited States, Mexico, Latin America or Europe, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the business or relationship of the Company Parent, Employer or any of its their respective Affiliates with any Person throughout the world which is or was a customer, client or distributor of the Company Parent, Employer or any of its their respective Affiliates at any time during which Executive was employed by the Company Employer (in the case of any such activity during the period of Executive's employment with the Companysuch time) or during the twelve-month period preceding the Date of Termination (in the case of any such activity after the date Date of Executive's termination of employmentTermination), other than any such solicitation on behalf of the Company Parent, Employer or any of its their respective Affiliates during Executive's employment with the CompanyEmployer.

Non-Solicitation of Customers. During the Restriction Periodperiod of the Executive's employment with the Company and, following any termination thereof, the period ending 18 months after the effective date of such termination, the Executive shall not, directly or indirectly, for his own account or for the account of any other Person, anywhere in the Restricted Territory, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the business or relationship of the Company or any of its Affiliates with any Person throughout the world which is or was a customer, client or distributor of the Company or any of its Affiliates at any time during which the Executive was employed by the Company (in the case of any such activity during the period of Executive's employment with the Companysuch time) or during the twelve-month period preceding the Date of Termination (in the case of any such activity after the date Date of Executive's termination of employmentTermination), other than any such solicitation on behalf of the Company or any of its Affiliates during the Executive's employment with the Company.

During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other Person, anywhere in any jurisdiction in which the Restricted TerritoryCompany or any of its affiliates has commenced or made plans to commence operations, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the business or relationship of the Company or any of its Affiliates affiliates with any Person person throughout the world which is or was a customer, client or distributor of the Company or any of its Affiliates affiliates at any time during which Executive was employed by the Company (in the case of any such activity during the period of Executive's employment with the Companysuch time) or during the twelve-month period preceding the Date of Termination (in the case of any such activity after the date Date of Executive's termination of employmentTermination), other than any such solicitation on behalf of the Company or any of its Affiliates affiliates during Executive's ’s employment with the Company.

During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other Person, anywhere in any jurisdiction in which the Restricted TerritoryCompany or any of its Affiliates has commenced or made plans to commence operations, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the conduct of business in the Industry by or the relationship of the Company or any of its Affiliates with any Person throughout the world which is or was a customer, client or distributor of the Company or any of its Affiliates at any time during which Executive was employed by the Company (in the case of any such activity during the period of Executive's employment with the Companysuch time) or during the twelve-12 month period preceding the Date of Termination (in the case of any such activity after the date Date of Executive's termination of employmentTermination), other than any such solicitation on behalf of the Company or any of its Affiliates during Executive's ’s employment with the Company.

Non-Solicitation of Customers. During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other Person, anywhere in the Restricted Territory, solicit or otherwise attempt to establish for himself or any other person, firm or entity anywhere in the United States or Europe any business relationship of a nature that is competitive with the business or relationship of the Company Holding, Employer or any of its Affiliates their respective subsidiaries with any Person person, firm or corporation which is or was a customer, client or distributor of the Company Holding, Employer or any of its Affiliates their respective subsidiaries at any time during which Executive was employed by the Company Employment Period (in the case of any such activity during the period of Executive's employment with the CompanyEmployment Period) or during the twelve-month period preceding the Date of Termination (in the case of any such activity after the date of Executive's termination of employment)employment with Holding, Employer and their respective subsidiaries, other than any such solicitation on behalf of the Company or any of its Affiliates during Executive's employment with the CompanyHolding or Employer on behalf of Holding, Employer or any of their respective subsidiaries.

Non-Solicitation of Customers. During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other Person, anywhere in the Restricted Territory, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the business or relationship of the Company Instinet or any of its Affiliates with any Person which Executive knew or had reason to know is or was a customer, client or distributor of the Company Instinet or any of its Affiliates at any time during which Executive was employed by the Company (in the case Instinet or any of any such activity during the period of Executive's employment with the Company) its Affiliates or during the twelve-month period preceding the Date date of Termination Executive's termination of employment (in the case of any such activity by Executive after the date of Executive's termination of employment), other than any such solicitation on behalf engaged in by Executive during the period of the Company his employment with Instinet or any of its Affiliates during Executive's employment with for the Companybenefit of Instinet or its Affiliates.

During the Restriction Period, Executive shall not, directly or indirectly, for his own account or for the account of any other PersonEntity, anywhere in any jurisdiction in which the Restricted TerritoryCompany or any of its affiliates has commenced or made plans to commence operations, solicit or otherwise attempt to establish any business relationship of a nature that is competitive with the business or relationship of the Company or any of its Affiliates affiliates with any Person Entity throughout the world which is or was a customer, client or distributor of the Company or any of its Affiliates affiliates at any time during which Executive was employed by the Company (in the case of any such activity during the period of Executive's employment with the Companysuch time) or during the twelve-month period preceding the Date of Termination (in the case of any such activity after the date Date of Executive's termination of employmentTermination), other than any such solicitation on behalf of the Company or any of its Affiliates affiliates during Executive's ’s employment with the Company.
