Common use of Non-Solicitation of Customers Clause in Contracts

Non-Solicitation of Customers. The Executive will not while employed by the Company and for a period of one (1) year following termination of employment, directly or indirectly by assisting others, solicit or accept, or attempt to solicit or accept, any business competitive to the business of the Company, from any customer with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerning, or had resultant earnings on) during employment with the Company.

Non-Solicitation of Customers. The Executive will not while employed by agrees that during Executive’s employment with the Company and for a period of one twenty-four (124) year following termination of employmentmonths after such employment ends, Executive will not, directly or indirectly by assisting othersindirectly, whether on Executive’s own behalf or on behalf of any other person or entity, solicit or accept, or attempt to solicit any current or accept, any business competitive to the business prospective customer of the Company, from any customer Company with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerning, Material Contact for the purpose of selling any products or had resultant earnings on) during employment with the Companyservices of a Competing Business.

Non-Solicitation of Customers. The Executive will not while employed by not, during the Company period of the Executive’s employment with the Company, and for a period of one (1) year following after the termination of employmentthe Executive’s employment with the Company for any reason, directly or indirectly by assisting othersindirectly, recruit, solicit or accept, otherwise induce or attempt to solicit or accept, induce any business competitive to the business of the Company, type performed by the Company from any customer with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerningcurrent or prospective customer, or had resultant earnings on) during employment to persuade any of the Company’s customers to cease doing business or reduce the amount of business that such customer has customarily done with the Company.

Non-Solicitation of Customers. The Executive will not while employed by shall not, during his employment or within 24 months following the Company and for a period of one (1) year following termination of employmenthis employment for any reason, directly or indirectly by assisting othersindirectly, solicit any customer of the Company or acceptany Member Company in order to attempt to direct any such customer away from, or attempt to solicit or accept, any do less business competitive to the business of the Company, from any customer with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerning, the Company or had resultant earnings on) during employment with the any Member Company.

The Executive will not while will, for so long as he is employed by the Company and for a period of one two (12) year following years after termination of employmenthis employment for any reason, refrain from soliciting, or attempting to solicit, directly or indirectly by assisting others, solicit or accept, or attempt to solicit or accept, any business competitive to the business from any of the Companycustomers, from any customer including actively sought prospective customers, with whom the Executive had material contact within the last twenty four (i.e. dealt with24) months of Executive's employment hereunder, supervised dealings with, obtained confidential information concerning, for purposes of providing products or had resultant earnings on) during employment services that are similar to or competitive with those provided by the Company, if the Company is also then still engaged in such business.

Non-Solicitation of Customers. The Executive will not while will, for so long as he is employed by the Company and for a period of one two (12) year following years after termination of employmenthis employment for any reason, refrain from soliciting, or attempting to solicit, directly or indirectly by assisting others, solicit or accept, or attempt to solicit or accept, any business competitive to the business from any of the Companycustomers, from any customer including actively sought prospective customers, with whom the Executive had material contact within the last twenty four (i.e. dealt with24) months of Executive’s employment hereunder, supervised dealings with, obtained confidential information concerning, for purposes of providing products or had resultant earnings on) during employment services that are similar to or competitive with those provided by the Company, if the Company is also then still engaged in such business.

Non-Solicitation of Customers. The Executive will not while employed by shall not, during his employment or within 24 months following the Company and for a period of one (1) year following termination of employmenthis employment for any reason, directly or indirectly by assisting othersindirectly, solicit any customer of the Company or acceptany Member Company (or any person or entity that was a customer of the Company or of any Member Company in the 12 months immediately preceding such termination) in order to attempt to direct any such customer or former customer away from, or attempt to solicit or accept, any do less business competitive to the business of the Company, from any customer with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerning, the Company or had resultant earnings on) during employment with the any Member Company.

Non-Solicitation of Customers. The Executive will not while employed by agrees that during his employment with the Company and for a period of one eighteen (118) year months following the termination of employmentthat employment for any reason, Executive will not, directly or indirectly by assisting othersindirectly, solicit or accept, or attempt to solicit or accept, any business competitive to in competition with the business Business of the Company, Company from any customer of the current, then current, or actively-sought prospective customers of the Xxxxxxxx Companies with whom the Executive had material contact during Executive’s tenure as Interim President and Chief Executive Officer and as Chief Executive Officer of the Company (i.e. dealt withi.e., supervised dealings with, obtained confidential information concerning, or had resultant earnings on) during employment with the Companysince August 2015).

Non-Solicitation of Customers. The Executive will not while employed by During the Executive’s employment with the Company and the Bank and for a period of one (1) year following termination of employment24 consecutive months thereafter, the Executive shall not, directly or indirectly by assisting othersindirectly, solicit Business from any customers, clients or accept, or attempt to solicit or accept, any business competitive to the business patrons of the CompanyCompany and/or the Bank who were customers, from any customer with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerning, clients or had resultant earnings on) during employment with business patrons of the CompanyCompany and/or the Bank at the time of termination of the Executive’s employment.

Non-Solicitation of Customers. The Executive will not while employed by shall not, during the Company Executive’s employment and for a the one year period of one (1) year immediately following the termination of employmentthe Executive’s employment for any reason, whether alone or for or in conjunction with any Person or entity, whether as an employee, partner, director, principal, agent, consultant or in any other capacity whatsoever, directly or indirectly by assisting others, solicit or accept, or attempt to solicit any Customer or accept, any business competitive to Prospective Customer for the purpose of obtaining the business of any Customer or Prospective Customer of the Company, from Company or persuading any customer with whom Executive had material contact (i.e. dealt with, supervised dealings with, obtained confidential information concerning, such Customer or had resultant earnings on) during employment with the Company.Prospective Customer to cease to do business
