Common use of Non-Solicitation of Employees and Agents Clause in Contracts

Non-Solicitation of Employees and Agents. Xxxxxxx acknowledges and agrees that during his/her employment, and for a period of twelve (12) months after the Date of Termination, Grantee has not and will not, directly or indirectly, whether on behalf of Grantee or others, solicit, lure or attempt to hire away any of the Company’s employees or agents with whom Xxxxxxx has material contact or managed in a direct line management capacity in the period of twelve (12) months prior to the Date of Termination or who had Material Contact with Customers in performing his/her duties of employment with the Company. The following provision replaces Section 2(h) of the Confidentiality Provisions:
