Common use of Non-Solicitation of Employees and Franchisees Clause in Contracts

Non-Solicitation of Employees and Franchisees. During the period of Executive’s employment with the Company and for the eighteen (18) month period following the termination of his employment (for any reason), Executive shall not, directly or indirectly, by himself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with, or attempt to establish a business relationship of a nature that is competitive with the Company’s Business with any person that is or was (during the last ninety (90) days of Executive’s employment with the Company ) an employee or franchisee of the Company (or other retail tax office operated by the Holding Company, the Company or any of the Company’s Subsidiaries, or any of the Company’s franchisees), or a relative or Affiliate of a franchisee, without the express written permission of the Company.

During the period of Executive’s employment with the Company and for the eighteen twelve (1812) month period following the termination of his her employment (for any reason), Executive shall not, directly or indirectly, by himself or through any third party, whether on Executive’s own behalf or on behalf of any other Person or entity, (i) solicit or induce or endeavor to solicit or induce, divert, employ or retain, (ii) interfere with, or attempt to establish a business relationship of a nature that is competitive with the Company’s Business with any person that is or was (during the last ninety (90) days of Executive’s employment with the Company ) an employee or franchisee of the Company (or other retail tax office operated by the Holding Company, the Company JTH Tax or any of the Company’s their Subsidiaries, or any of the Company’s their respective franchisees), or a relative or Affiliate of a franchisee, without the express written permission of the Company.
