Common use of Non-Solicitation of Employees and Independent Contractors Clause in Contracts

Non-Solicitation of Employees and Independent Contractors. Executive will not, during the Employment Period, or at any time following his termination from employment, regardless of whether termination is initiated by Executive or by the Company, for any reason, directly or indirectly (i) induce or attempt to induce any employee or full-time independent contractor of the Company to leave the employ or contracting relationship with the Company, or in any way interfere with the relationship between the Company and any employee or full-time independent contractor thereof, (ii) solicit for employment or as an independent contractor any person who was an employee or full-time independent contractor of the Company at any time during the Employment Period, or (iii) induce or attempt to induce any customer, supplier or other business relation of the Company to cease doing business with the Company or in any way interfere with the relationship between any such customer, supplier or other business relation and the Company.

Executive Consultant will not, during the Employment PeriodTerm, and for one (1) year after the expiration or at any time following his sooner termination from employmentof this Agreement, regardless of whether termination is initiated by Executive either Consultant or by the Company, for any reason, directly or indirectly (i) induce or attempt to induce any employee or full-time an independent contractor of the Company to leave the employ or contracting relationship with the Company, or in any way interfere with the relationship between the Company and any employee or full-time an independent contractor thereof, (ii) solicit for employment or as an independent contractor any person who was an employee or full-time independent contractor of the Company at any time during the Employment PeriodTerm, or (iii) induce or attempt to induce any customer, supplier or other business relation of the Company to cease doing business with the Company or in any way interfere with the relationship between any such customer, supplier or other business relation and the Company.
