Common use of Non-Solicitation of Employees Clause in Contracts

Non-Solicitation of Employees. During the Restriction Period, the Executive shall not directly or indirectly contact, induce or solicit (or assist any Person to contact, induce or solicit) for employment any person who is, or within twelve (12) months prior to the date of such solicitation was, an employee of the Company or any of its Affiliates.

Non-Solicitation of Employees. During the Restriction PeriodTerm and for a period of one (1) year thereafter, the Executive shall not not, directly or indirectly indirectly, contact, induce or solicit (or assist any Person to contact, induce or solicit) for employment employment, or otherwise interfere with, entice away or attempt to obtain or induce the withdrawal of, any person who is, or within twelve (12) months prior to the date of such solicitation was, an employee of the Company or any of its Affiliates.

During the Restriction Period, the Executive shall not directly or indirectly contact, induce or solicit (or assist any Person to contact, induce or solicit) for employment any person who is, or within twelve (12) 3 months prior to the date of such solicitation was, an employee of any member of the Company Group; provided, however, that this Section 4.3 shall not apply to any individual who was an employee of the Company or Holdings immediately prior to the Effective Time and is terminated by Xylem Inc. (or any of its Affiliatesaffiliates) on or after the Effective Time.

During the Restriction Period, the Executive shall not not, directly or indirectly indirectly, hire, or knowingly contact, induce or solicit (or knowingly assist any Person to hire, contact, induce or solicit) for employment any person who is, or within twelve (12) 12 months prior to the date of such hiring, contacting, inducing or solicitation was, an employee of the Company or any of its Affiliatesaffiliates.

Non-Solicitation of Employees. During the Restriction Period, the Executive shall not not, directly or indirectly indirectly, contact, induce or solicit (or assist any Person to to, or recommend that any Person, contact, induce or solicit) for employment any person Person who is, or within twelve (12) months prior to the date of such contact, inducement or solicitation was, an employee of the Company or any of its Affiliatesaffiliates.

During Executive’s employment with the Restriction PeriodCompany and for a twelve (12) month period following the Date of Termination, the Executive shall not directly or indirectly contact, induce or solicit (or assist any Person to contact, induce or solicit) for employment or consulting services any person who is, or within twelve (12) months prior to the date of such solicitation was, an employee or consultant of the Company or any of its AffiliatesCompany.
