Common use of Non-Solicitation of Employees Clause in Contracts

Non-Solicitation of Employees. During Executive’s employment with the Company, and for the Period of Post-Employment Non-Competition Obligations, Executive will not, either directly or indirectly, call on, solicit, or induce any other employee or officer of the Company or its affiliated entities whom Executive had contact with, knowledge of, or association with in the course of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitation.

Non-Solicitation of Employees. During Executive’s employment with the Companyemployment, and for the Period of Post-Employment Non-Competition ObligationsRestricted Term, Executive will not, either directly in person or indirectlythrough the direction or control of others, call on, solicit, encourage, or induce any other employee or officer of the Company or its affiliated entities affiliates whom Executive had contact with, knowledge of, or association with in within the course of employment with the Company to terminate his or her employment, and will not assist any other person or entity in such a solicitation.

Non-Solicitation of Employees. During Executive’s employment with Executive agrees that during the Company, Employment Term and for during the Period of Post-Employment Non-Competition ObligationsRestricted Period, Executive will not, either directly or indirectly, call on(a) induce or solicit any person who was an employee, solicit, consultant or induce any other employee or officer independent contractor of the Company or any of its affiliated entities whom Executive had contact with, knowledge of, Affiliates to terminate such individual’s employment or association with in the course of employment service with the Company to terminate his or any of its Affiliates, (b) hire or retain the services of any such person, regardless of whether such person had been solicited for employment, and will not or (c) assist any other person or entity in such a solicitationactivities.

Non-Solicitation of Employees. During Executive’s employment with the Companyemployment, and for a period of two (2) years following the Period termination of Post-Employment Non-Competition Obligationsemployment for any reason, Executive will not, either directly or indirectly, call on, solicit, encourage, or induce any other employee or officer of the Company or its affiliated entities affiliates whom Executive had contact with, knowledge of, or association with in within the course of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitation.

Non-Solicitation of Employees. During Executive’s 's employment with the Company, and for the Period of Post-Employment Non-Competition Obligations, Obligations set forth on Exhibit "A," Executive will not, either directly or indirectly, call on, solicit, or induce any other employee or officer of the Company or its affiliated entities whom Executive had contact with, knowledge of, or association with in the course of employment with the Company to terminate his or her employment, and will not assist any other person or entity in such a solicitation.

During Executive’s employment with the Company's employment, and for a period of two (2) years following the Period termination of Post-Employment Non-Competition Obligationsemployment for any reason, Executive will not, either directly or indirectly, call on, solicit, encourage, or induce any other employee or officer of the Company or its affiliated entities affiliates whom Executive had contact with, knowledge of, or association with in within the course of employment with the Company to terminate his or her employment, and will not assist any other person or entity in such a solicitation.

During the term of Executive’s employment with the Company, Company and for during the Period of Post-Employment Non-Competition ObligationsRestricted Period, Executive will not, either directly or indirectly, call onurge, solicitinfluence, induce or seek to induce (other than by means of general advertising of available positions) any other employee or officer of the Company or its affiliated entities whom Executive had contact with, knowledge of, or association with in the course of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitationhis/her relationship with the Company.

Non-Solicitation of Employees. During Executive’s employment with the Company, and for the Period of Post-Employment Non-Competition Obligations, Executive will not, either during the Non-Compete Period, directly or indirectly, without the prior written consent of the Company, call on, solicit, solicit or induce any other employee or officer of the Company or its affiliated entities Key Companies with whom Executive had contact withcontact, knowledge ofknowledge, or association with in the course of employment with the Company to terminate employment from his or her employment, and will not assist any other person or entity in such a solicitationactivities.

Non-Solicitation of Employees. During Executive’s The Executive agrees that during the course of employment with the Company, and for a period equal to the Severance Period of Post-Employment Non-Competition Obligationsthereafter, the Executive will shall not, either directly or indirectly, call onwhether on behalf of the Executive or others, solicit, lure or induce attempt to hire away any other employee or officer of the employees of the Company or its affiliated entities with whom the Executive had contact with, knowledge of, or association with in the course of employment interacted while employed with the Company to terminate his employment, and will not assist any other person or entity in such a solicitationCompany.

Non-Solicitation of Employees. During the Term and during the applicable Non-Competition Period, the Executive agrees that the Executive will not, directly or indirectly, hire or induce or solicit any current employee of the Company or any Affiliate or any person who was an employee of the Company or any Affiliate during the final 12 months of the Executive’s employment to terminate the employee’s employment with the Company, and Company or to work for the Period of Post-Employment Non-Competition Obligations, Executive will not, either directly or indirectly, call on, solicit, or induce any other employee or officer of the Company or its affiliated entities whom Executive had contact with, knowledge of, or association with in the course of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitationExecutive’s employer.

During the Executive’s employment consulting relationship with the Company and for a period of two years after the termination of the Executive’s consulting relationship with the Company, and for the Period of Post-Employment Non-Competition Obligations, Executive will not, either directly or indirectly, call on, solicit, or induce any other employee or officer of the Company or its affiliated entities whom the Executive had contact with, knowledge of, or association with in the course of employment with the Company to terminate his or her employment, and will not assist any other person or entity in such a solicitation.

Non-Solicitation of Employees. During Executive’s employment with Executive agrees that during the Company, Employment Term and for during the Period of Post-Employment Non-Competition ObligationsRestricted Period, Executive will not, either directly or indirectly, call on(a) induce or solicit any person who was an employee, solicit, consultant or induce any other employee or officer independent contractor of the Company or any of its affiliated entities whom Executive had contact with, knowledge of, Affiliates to terminate such individual's employment or association with in the course of employment service with the Company to terminate his or any of its Affiliates, (b) hire or retain the services of any such person, regardless of whether such person had been solicited for employment, and will not or (c) assist any other person or entity in such a solicitationactivities.

Non-Solicitation of Employees. During Executive’s the term of his employment with by the Company, Company and thereafter for the Period of Post-Employment Non-Competition ObligationsPeriod, Executive will shall not, either directly on his own behalf or indirectlyon behalf of any other person, call onpartnership, solicitentity, association, or induce corporation, solicit or seek to hire any other employee or officer of the Company or its affiliated entities whom Executive had contact within any other manner attempt directly or indirectly to influence, knowledge ofinduce, or association with in the course encourage any employee of employment with the Company to terminate his employment, and will not assist any other person or entity in such a solicitationleave the employment of the Company.
