After execution of this Agreement, and through the Closing Date, the Business Contribution Member shall not pursue, initiate, encourage or engage in any negotiations or discussions with any third parties concerning the sale of the Business, the Assets, or any part thereof or concerning the terms and conditions of this Agreement.
