Common use of Non-Use and Non-Disclosure Clause in Contracts

Non-Use and Non-Disclosure. The Executive shall not during the Employment Term or at any time thereafter: (i) disclose, directly or indirectly, any Proprietary Information to any person, other than any person who, in the reasonable judgment of the Executive, needs to know such Proprietary Information or such other persons to whom the Executive has been specifically instructed to make disclosure by the Board and in all such cases only to the extent required in the course of the Executive's service to the Company; or (ii) use any Proprietary Information, directly or indirectly, for the Executive's own benefit or for the benefit of any person or entity other than the Company.

The Executive shall not during the Employment Term Period or at any time thereafter: thereafter (ia) disclose, directly or indirectly, any Proprietary Confidential Information to any person, person other than any person the Company or employees thereof at the time of such disclosure who, in the reasonable judgment of the Executive, needs need to know such Proprietary Confidential Information or such other persons to whom the Executive has been specifically instructed or authorized to make disclosure by the Board or CEO/President and in all such cases only to the extent required in the course of the Executive's ’s service to the Company; Company or (iib) use any Proprietary Confidential Information, directly or indirectly, for the Executive's his/her own benefit or for the benefit of any other person or entity other than the Companyentity.
