Common use of Nonassignability Clause in Contracts

Nonassignability. Neither this Agreement nor any right or interest hereunder shall be assignable by the Executive, his beneficiaries, dependents or legal representatives without the Company’s prior written consent; provided, however, that nothing in this Section 7.10 shall preclude (a) the Executive from designating a beneficiary to receive any benefit payable hereunder upon his death or (b) the executors, administrators or other legal representatives of the Executive or his estate from assigning any rights hereunder to the Person(s) entitled thereto.

Neither this Agreement nor any right or interest hereunder shall be assignable by the Executive, his beneficiaries, dependents or legal representatives without the Company’s Employers' prior written consent; provided, however, that nothing in this Section 7.10 paragraph 16(a) shall preclude (ai) the Executive from designating a beneficiary to receive any benefit benefits payable hereunder upon his death death, or (bii) the executorsExecutors, administrators administrators, or other legal representatives of the Executive or his estate from assigning any rights hereunder to the Person(s) person or persons entitled thereto.

Nonassignability. Neither this Agreement nor any right or interest hereunder shall be assignable by the ExecutiveEmployee, his beneficiaries, dependents or legal representatives without the Company’s 's prior written consent; provided, however, that nothing in this Section 7.10 11 shall preclude (a) the Executive Employee from designating a beneficiary to receive any benefit payable hereunder upon his death or death, (b) the executors, administrators or other legal representatives of the Executive Employee or his estate from assigning any rights hereunder to the Person(sperson or persons entitled thereto or (c) entitled theretothe Company from assigning its rights and obligations under this Agreement to the Parent without the consent of Employee.
