Common use of Nondeductible Payments Clause in Contracts

Nondeductible Payments. Except as set forth in Subsection 5.13(j) of the Acquiror's Disclosure Letter, in connection with the consummation of the transactions contemplated by this Agreement, no payment of money or other property, acceleration of benefits or provision of other rights has been or will be made under any such Current Benefit Plans or any of the programs, agreements, policies or other arrangements described in Subsection 5.13(l) of the Acquiror's Disclosure Letter that would be reasonably likely to be nondeductible under Section 280G of the Code, whether or not some other subsequent action or event would be required to cause such payment, acceleration or provision to be triggered.
