Nondisclosure and Inventions Agreements. Each employee, officer and consultant of the Company or any of its subsidiaries has executed a Nondisclosure and Inventions Agreement in the form attached hereto as Exhibit C. The Company, after reasonable investigation, is not aware that any of the Company's or its subsidiaries' employees, officers or consultants are in violation of the agreements specified in this Section 2.11, and the Company and its subsidiaries will use their best efforts to prevent any such violation.
