Common use of Nonduplication Clause in Contracts

Nonduplication. Notwithstanding any other provisions of this Agreement, if Executive becomes entitled to benefits under Article III of the CIC Agreement, the severance benefits described in Article III(a) of the CIC Agreement shall be in lieu of any termination allowance to which Executive is otherwise entitled under Section 2 of this Agreement or any retirement allowance to which Executive is otherwise entitled under Section 4(b) of this Agreement. Except as otherwise specifically provided in this Section 18, both this Agreement and the CIC Agreement shall continue in full force and effect, and Article X(e) of the CIC Agreement shall be interpreted consistently herewith.

Notwithstanding any other provisions of this Agreement, if Executive becomes entitled to severance benefits under Article III of the CIC Agreement, the such severance benefits described in Article III(a) of the CIC Agreement shall be in lieu of any termination allowance benefits to which Executive is otherwise entitled under Section 2 of this Agreement or any retirement allowance to which Executive is otherwise entitled under Section 4(b) of this Agreement, other than the Equity Awards. Except as otherwise specifically provided in this Section 1823, both this Agreement and the CIC Agreement shall continue in full force and effect, and Article X(e) of the CIC Agreement shall be interpreted consistently herewith.
