Common use of NONSOLICITATION; NONINTERFERENCE Clause in Contracts

NONSOLICITATION; NONINTERFERENCE. (i) During the Employee’s employment with the Company Group and for a period of twenty four (24) months thereafter, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties hereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (A) solicit, aid or induce any employee, representative or agent, in each case, with authority exceeding that of store level management (“Company Employee”) of the Company Group or any of its subsidiaries or affiliates to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group or hire or retain any such Company Employee, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such Company Employee, or (B) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its affiliates and any of their respective vendors, joint venturers or licensors. A Company Group Employee shall be deemed covered by this Section 9(c) while so employed or retained and for a period of six (6) months thereafter.

(i) During the Employee’s Executive's employment with the Company Group and for a period the duration of twenty four the Restricted Period (24as defined in Section 10(b) months thereafterabove), the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the Employee’s Executive's duties hereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (Ai) solicit, aid or induce any customer of the Company Group to purchase goods or services then sold by the Company Group from another person, firm, corporation or other entity or assist or aid any other person or entity in identifying or soliciting any such customer, (ii) solicit, aid or induce any employee, representative or agent, in each case, with authority exceeding that of store level management (“Company Employee”) agent of the Company Group or any of its subsidiaries or affiliates to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group Group, or hire or retain any such Company Employeeemployee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such Company Employeeemployee, representative or agent, or (Biii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or and any of its affiliates and any of their respective vendors, joint venturers or licensors. A Company Group Employee shall be deemed covered by Notwithstanding the foregoing, the provisions of this Section 9(c10(c) while so employed shall not be violated by general advertising or retained and for a period of six (6) months thereaftersolicitation not specifically targeted at Company Group-related persons or entities.
