Common use of Notes to Rank Pari Passu Clause in Contracts

Notes to Rank Pari Passu. The Notes and all other obligations under this Agreement of the Company are and at all times shall remain direct and unsecured obligations of the Company ranking pari passu as against the assets of the Company with all other Notes from time to time issued and outstanding hereunder without any preference among themselves, and at least pari passu with all Indebtedness outstanding under any Material Credit Facility and all other present and future unsecured Indebtedness (actual or contingent) of the Company which is not expressed to be subordinate or junior in rank to any other unsecured Indebtedness of the Company, except to the extent that any Material Credit Facility becomes secured, then the Notes shall also become secured and shall rank at least pari passu therewith. The Company will ensure that the payment obligations of any Subsidiary Guarantor under its Subsidiary Guaranty will at all times rank at least pari passu, without preference or priority, with all other unsecured and unsubordinated Indebtedness of such Subsidiary Guarantor.
