Notice by Agent. Promptly following receipt by Agent of an executed Assignment and Assumption, Agent shall give notice to the Borrower and to the Lenders of: (i) the effectiveness of the assignment by the assigning Lender to the Assignee Lender (or the affiliate of the Lender); and (ii) the revised percentages and maximum amounts of the Commitment Percentage of the Committed Amount in effect as a result of such assignment.
Notice by Agent. Upon receipt of a notice of prepayment pursuant to this Section 2.9, the Agent shall promptly notify each applicable Lender of the contents thereof and of such Lender’s Applicable Percentage of such prepayment and the corresponding Early Termination Fee, if any.
Notice by Agent. Agent shall give written notice to each holder of Junior Subordinated Notes of any Senior Subordinated Notes Covenant Default or Senior Subordinated Notes Payment Default (and any acceleration of the maturity of any Indebtedness as a result thereof) and the receipt of any notice under Section 13.3(a) or (b) immediately upon the occurrence or receipt thereof, as the case may be.
Notice by Agent. Any notices which Agent is required or desires to give hereunder to any of the Depositors shall be in writing and may be given by mailing the same to the address indicated below opposite the signature of such Depositor (or to such other address as said Depositor may have theretofore substituted therefor by written notification to Agent), by United States certified or registered mail, postage prepaid. For all purposes hereof any notice so mailed shall be as effectual as though served upon the person of the Depositor to whom it was mailed at the time it is deposited in the United States mail by Agent whether or not such undersigned thereafter actually receives such notice. Whenever under the terms hereof the time for Agent's giving a notice or performing an act falls upon a Saturday, Sunday, or holiday, such time shall be extended to the next business day.
Notice by Agent. For all purposes hereof, any notice so mailed shall be as effective as though served upon the person of the Party to whom it was mailed on the third (3rd) business day after the time it is deposited in the United States mail by Agent, properly addressed and with postage prepaid, whether or not such Party thereafter actually receives such notice. Notice by Agent. The Agent agrees to notify promptly the Collateral Agent and the Trustee of a Discharge of Senior Lender Claims.
Notice by Agent. The Agent shall notify the Servicer of any purchase by CSFB of any Receivable Interest under any Asset Purchase Agreement entered into by the Conduit and CSFB.
Notice by Agent. Agent shall give written notice to each Junior Lender and each Convertible Junior PIK Lender of any Senior Loan Payment Default (and any acceleration of the maturity of any Indebtedness as a result thereof) and the receipt of any notice under Section 10.2(a) or (b) promptly upon the occurrence or receipt thereof, as the case may be.
Notice by Agent. Upon receipt of any prepayment or Repayment Notice pursuant to this Section 2.9, the Agent shall promptly notify each applicable Lender of the contents thereof and of such Lender’s Applicable Percentage of such prepayment. Each Repayment Notice provided by the Borrower in respect of any permanent repayment or prepayment hereunder shall be in the form of Exhibit J and shall be irrevocable at such time as the Agent or any Lender has commenced taking any action pursuant to any such prepayment notice.
