Except as: (i) consented to by Seller, which consent shall not be unreasonably withheld, or (ii) required in connection with the obtaining of the Requisite Regulatory Approvals, prior to the Closing Date Purchaser shall not give any notice or notification of the closing of the Branch Office, or be responsible for any such notice or notification or the communication of any such information to any person.
