Common use of Notice of Convictions and Criminal Investigations Clause in Contracts

Notice of Convictions and Criminal Investigations. Prior to the execution of this Agreement, the Contractor shall promptly notify the Authority if it, or its officers, directors, Key Persons, or any of the Contractor’s independent contractors who perform Services, or their officers, directors, or employees, have ever been convicted of a felony, or any crime involving moral turpitude, including, but not limited to fraud, misappropriation or deception. The Contractor shall promptly notify the Authority of any criminal litigation, investigations or proceeding which may have arisen or may arise involving the Contractor, or any of the Contractor’s Key Persons, members or shareholders, or subcontractors, or any of the Contractor’s or its subcontractors’ then current officers or directors while performing under this contract.
