Common use of Notice of Deadlock Clause in Contracts

Notice of Deadlock. No Deadlock shall be deemed to have occurred until either Stockholder gives the other Stockholder a written notice of Deadlock. Such notice of Deadlock shall specify in reasonable detail the nature of the issue giving rise thereto. Within twenty (20) business days after the delivery of the notice of Deadlock, representatives of both Cadarso and Fossil shall meet for the purpose of amicably resolving the Deadlock. Section 12.3
