NOTICE OF DEVELOPMENTS; UPDATE OF DISCLOSURE SCHEDULES. Seller will give prompt written notice to Purchaser of any inaccuracies in any of the representations and warranties in Article V above or any breach of any of the covenants in this Agreement to be satisfied by Seller or any Member prior to Closing. Purchaser will give prompt written notice to Seller of any inaccuracies in any of the representations and warranties in Article VI above or any breach of any of the covenants in this Agreement to be satisfied by Seller or any Member prior to Closing. Seller shall promptly supplement in writing the disclosure schedules delivered in connection with this Agreement (such supplement, a “Disclosure Supplement”) during the period beginning on the execution of the Agreement and ending on the Closing Date in order to reflect (i) new matters or events that occur or come to the Knowledge of Sellers during such period or (ii) any matters in the previously provided disclosure schedules that have become incorrect or misleading between the date of this Agreement and the Closing. If Seller delivers a Disclosure Supplement, Purchaser is entitled to terminate this Agreement pursuant to Section 10.1(e) and if Purchaser elects not to terminate this Agreement as a result of such supplement and instead consummates the Closing, then any matters disclosed in the Disclosure Supplement shall be disregarded for purposes of determining whether a representation or warranty has been breached or is inaccurate pursuant to Section 11.1(a)(i) and Purchaser’s rights to indemnification under Section 11.1(a)(i) will be based solely on the disclosures contained in the disclosure schedules delivered on the date of execution of this Agreement.

NOTICE OF DEVELOPMENTS; UPDATE OF DISCLOSURE SCHEDULES. The Company and the Stockholders will give prompt written notice to the Buyer of any material development affecting the assets, liabilities, Business, financial condition, operations or results of operations of the Company and each party hereto will give prompt written notice to the others of any material development affecting the ability of any of such parties to consummate the transactions contemplated hereby. The Company and the Stockholders shall have the right, for a period from the date of delivery of the disclosure schedules to the Buyer pursuant to Section 5.1(g) to that date which is not later than five (5) business days prior to the Closing Date, to update any of the disclosure schedules provided under Article III; provided, however, that if such updated schedules reveal a change that is material (defined as in the preamble to Article III), the Buyer shall notify the Company and the Stockholders within three (3) business days of receipt of such updated schedule that the same contains such a material change. If after a period of ten (10) business days from the receipt of the Buyer's notice, the parties are unable to reach an agreement regarding an appropriate adjustment to the Purchase Price or other amendment to this Agreement that adequately compensates the Buyer for the adverse impact of such material change, then the Buyer may, at its option, either (i) terminate this Agreement or (ii) waive the right to claim that such matter constitutes a breach of the representations and warranties of this Agreement for purposes of Section 7.1(b) or Article VIII.

Information provided by the Company in response to any due diligence questionnaire shall not be deemed part of the Disclosure Schedule and shall not be deemed to be an exception to one or more representations or warranties contained in Section 5 hereof unless such information is specifically included on the Disclosure Schedule in accordance with the provisions of this Section 11.1.
