Common use of Notice of Exchange Act Reportable Events Clause in Contracts

Notice of Exchange Act Reportable Events. The Seller hereby agrees to deliver to the Depositor and the Trustee the disclosure required as to the Seller itself under Items 1117 and 1119 of Regulation AB and Item 1.03 to Form 8-K. The Seller shall use commercially reasonable efforts to deliver proposed disclosure language relating to any such event described under Items 1117 and 1119 of Regulation AB and Item 1.03 to Form 8-K to the Trustee and the Depositor within one (1) business day of become aware of such event giving rise to such disclosure and in any event no later than two (2) business days of the Seller becoming aware of such event. The obligation of the Seller to provide the above referenced disclosure materials will terminate upon the filing of the Form 15 with respect to the Trust Fund as to that fiscal year in accordance with Section 11.10(a) of the Pooling and Servicing Agreement. The Seller hereby acknowledges that the information to be provided by it pursuant to this Section will be used in the preparation of reports meeting the reporting requirements of the Trust under Section 13(a) and/or Section 15(d) of the Securities Exchange Act of 1934, as amended.
