Common use of Notice of Immunity Under the Defend Trade Secrets Act of 2016 Clause in Contracts

Notice of Immunity Under the Defend Trade Secrets Act of 2016. Notwithstanding any other provision of this Agreement, I understand and acknowledge that I will not be held criminally or civilly liable under any federal or state trade secret law for any disclosure of a trade secret that is made (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and solely for the purpose of reporting or investigating a suspected violation of law; or (ii) in a complaint or other document that is filed under seal in a lawsuit or other proceeding. I further acknowledge that, if I file a lawsuit for retaliation by the Company for reporting a suspected violation of law, I may disclose the Company trade secrets to my attorney and use the trade secret information in the court proceeding so long as I (i) file any document containing the trade secret under seal; and (ii) do not disclose the trade secret, except pursuant to court order.

I further acknowledge that, if I file If Executive files a lawsuit for retaliation by the Company for reporting a suspected violation of law, I Executive may disclose the Company Company's trade secrets to my Executive 's attorney and use the trade secret information in the court proceeding so long as I if Executive: (i) file files any document containing the trade secret under seal; and (ii) do does not disclose the trade secret, except pursuant to court order.
