Common use of Notice of Immunity Under the Economic Clause in Contracts

Notice of Immunity Under the Economic. Espionage Act of 1996, as amended by the Defend Trade Secrets Act of 2016. (a) Executive will not be held criminally or civilly liable under any federal or state trade secret law for any disclosure of a trade secret that: (i) is made: (A) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and (B) solely for the purpose of reporting or investigating a suspected violation of law; or (ii) is made in a complaint or other document that is filed under seal in a lawsuit or other proceeding. (b) If Executive files a lawsuit for retaliation by the Company affiliate of the Company for reporting a suspected violation of law, Executive may disclose the Company's or its affiliate's trade secrets to Executive's attorney and use the trade secret information in the court proceeding if Executive: (i) files any document containing the trade secret under seal; and (ii) does not disclose the trade secret, except pursuant to court order.

(bii) If Executive files a lawsuit for retaliation by the Company affiliate or any of the Company its affiliates for reporting a suspected violation of law, Executive may disclose the Company's ’s or its affiliate's affiliates’ trade secrets to Executive's ’s attorney and use the trade secret information in the court proceeding if Executive: (iA) files any document containing the trade secret secrets under seal; and (iiB) does not disclose the trade secretsecrets, except pursuant to court order.

(bii) If Executive Employee files a lawsuit against the Company for alleged retaliation by the Company affiliate of the Company for Employee reporting a suspected violation of law, Executive Employee may disclose the Company's or its affiliate's trade secrets ’s Trade Secrets to Executive's Employee’s attorney and use the trade secret Trade Secret information in the court proceeding if Executive: Employee (iA) files any document containing the trade secret Trade Secret under seal; and and (iiB) does not disclose the trade secretTrade Secret, except pursuant to court order.
