Notice of Insolvency Events. To the extent that an Insolvency Event shall occur with respect to (a) the Transferor, as specified in Section 6.01 of the Transfer and Servicing Agreement, (b) the Bank, as specified in Section 8.02 of the HRAC RPA, or (c) HRAC, as specified in Section 8.02 of the Transferor RPA, the Issuer shall provide, or cause to be provided, written notice of such occurrence to Standard & Poor's.
