Common use of Notice of Intent to Claim Against Owner Clause in Contracts

Notice of Intent to Claim Against Owner. If the claim or dispute is based on the acts or omissions of the Owner or, if the Contractor reasonably believes that the Owner is ultimately liable for the Subcontractor's claim and intends to assert a claim against the Owner, based in whole or in part, on the Subcontractor's claim, the Contractor shall so notify the Subcontractor, in writing, within ten (10) working days of receipt of Subcontractor's notice. If no such notice is issued, the Subcontractor shall be free to litigate the claim as provided in Paragraph 12.1.3. If such notice is issued, the Subcontractor agrees that it will not commence any suit on the claim, pending resolution of the Contractor's claim against the Owner.
