Common use of Notice of Intention to Terminate Clause in Contracts

Notice of Intention to Terminate. (i) Subject to Article 21.1.2 and without prejudice to any other rights or remedies which the Authority may have under the SFM Agreement or under the Applicable Laws, upon the occurrence of a Facility Manager’s Event of Default, the Facility Manager shall be liable for the breach caused and consequences thereof and the Authority shall have the right to issue a notice of intention to terminate (the “Notice of Intention to Terminate”). (ii) Upon the issuance of a Notice of Intention to Terminate, the Facility Manager shall have the right to rectify or cure the breach within the Cure Period. (iii) If the breach is not rectified by the Facility Manager within the Cure Period, the Authority shall have the right to terminate the SFM Agreement by issuance of a Termination Notice.

(ii) Upon the issuance of a Notice of Intention to Terminate, the Facility Manager shall have the right to rectify or cure the breach within the Cure Period. (iii) If the breach is not rectified by the Facility Manager within the Cure Period, the Authority shall have the right to terminate the SFM Agreement by issuance of a Termination Notice.
