Common use of Notice of Issue Clause in Contracts

Notice of Issue. The Corporation will give written notice of the issue of Common Shares pursuant to the exercise of any Warrants, in such detail as may be required, to each securities commission or similar regulatory authority in each jurisdiction in Canada in which there is legislation or regulations requiring the giving of any such notice in order that such issue of Common Shares and the subsequent disposition of the Common Shares so issued will not be subject to the prospectus requirements, if any, of such legislation or regulations.

The Corporation will give written notice of and make all requisite filings respecting the issue of Common Shares pursuant to the exercise of any WarrantsSubscription Receipts, in such detail as may be required, to each securities commission commission, stock exchange or similar regulatory authority in each jurisdiction in Canada in which there is legislation or regulations requiring the giving of any such notice in order that such issue of Common Shares and the subsequent disposition of the such Common Shares so issued will not be subject to the prospectus requirements, if any, of such legislation or regulations.
