Common use of Notice of Members’ Meetings Clause in Contracts

Notice of Members’ Meetings. (a) In connection with the calling of any meeting of the Members, the Board may set a record date for determining the Members entitled to vote at such meeting. Written notice stating the place, day, and hour of the meeting and, in case of a special meeting, the purpose for which the meeting is called shall be delivered not less than ten (10) days nor more than sixty (60) days before the date of the meeting, either personally, by facsimile, email or by mail, by or at the direction of the Board to each Member entitled to vote thereat.
