Common use of Notice of Milestone Events Clause in Contracts

Notice of Milestone Events. Company shall provide Licensor with prompt written notice upon each occurrence of a milestone event set forth in Section 6.2 or 6.3. In the event that, notwithstanding the fact that Company has not given such a notice, Licensor believes any such milestone event has occurred, it shall so notify Company in writing and shall provide to Company the data, documentation or other information that supports its belief. Any dispute under this Section 6.4(a) that relates to whether or not a milestone event has occurred shall first be referred to the JAC for resolution , and if not resolved after due consideration by the JAC, shall be subject to dispute resolution under Article 12.
