Each of the Borrowers shall deliver to the Agent and each Lender, within thirty (30) days of receipt thereof, written notice of any pending action, claim, complaint, or any other notice of dispute or potential litigation (including without limitation any alleged violation of any Environmental Law), wherein the potential liability is unspecified or in excess of $1,000,000, together with a copy of each such notice received by any Borrower or its Subsidiary.
