Common use of NOTICE OF SALE BY XXXXX Clause in Contracts

NOTICE OF SALE BY XXXXX. In the absence of and until a Qualified IPO (as defined below), Xxxxx shall give written notice to the holders of the Preferred Stock and the Company if at any time she desires to sell or transfer any of her shares ("Notice of Sale"). The Notice of Sale shall set forth a description of the proposed sale or transfer, including the name of the proposed purchaser or transferee, the number of shares affected, the purchase price or consideration and any other conditions of the sale or transfer. For a period of ten days following receipt of such Notice of Sale, the Investors shall have the right to prohibit such sale or transfer by Xxxxx. The holders of a majority of the shares of Preferred Stock then outstanding shall notify Xxxxx and the Company in writing within ten days of receipt of the Notice of Sale of their intention to either allow or prohibit the proposed sale or transfer ("Notice Reply").
