Common use of Notice of Sale Event Clause in Contracts

Notice of Sale Event. (a) After complying with Section 5, at least 10 business days prior to entering into or agreeing to any Proposal, the Company shall provide a written notice of such Proposal (the “Company Notice”) to Dell. The Company Notice shall include (i) a true and correct copy of the Proposal, including all schedules, exhibits and ancillary documents related thereto, and (ii) the expected date of consummation of such Sale Event.
