Notice to Account Debtors and Contract Parties. Upon the request of the Agent at any time after the occurrence and during the continuance of an Event of Default, the Pledgor shall notify account debtors on the Accounts and parties to the Contracts that the Accounts and the Contracts have been assigned to the Agent, for the ratable benefit of the Banks, and that payments in respect of such Accounts shall be made directly to the Agent.

Upon the request of the Second Priority Collateral Trustee at any time after the occurrence and during the continuance of an Event of Default, a Grantor shall notify Account Debtors on the Accounts and parties to the Contracts that the Accounts and the Contracts have been assigned to the Second Priority Collateral Trustee for the ratable benefit of the Second Priority Debt Parties and that payments in respect thereof during the continuance of such an Event of Default shall be made directly to the Second Priority Collateral Trustee.

Upon the request of the Purchaser at any time after the occurrence and during the continuance of a Default or Event of Default, each Grantor shall notify its respective account debtors on the Accounts and parties to the Contracts that the Accounts and the Contracts have been assigned to the Purchaser and that payments in respect thereof shall be made directly to the Purchaser.
Notice to Account Debtors and Contract Parties. At any time after the occurrence and during the continuance of an Event of Default and subject to the provisions of the Intercreditor Agreement, upon written request of the Trustee to so notify such account debtors, the Company shall notify account debtors on the Accounts that the Accounts have been assigned to the Trustee for the benefit of the Trustee and the Noteholders and that payments in respect thereof shall be made directly to the Trustee.

Upon the request of the Controlling Collateral Agent at any time after a Notice of an Actionable Event has been given and remains outstanding, the Grantor shall notify account debtors on the Accounts to which the Grantor is a party and parties to the Contracts to which the Grantor is a party that such Accounts and Contracts have been assigned to the Controlling Collateral Agent and that payments in respect thereof shall be made directly to the Controlling Collateral Agent.
