Notice to Lender of Litigation. Borrower will give immediate notice to the Lender of any litigation or proceeding in which any of them is a party, if an adverse decision therein would require them to pay over more than One Hundred Thousand Dollars ($100,000.00) or deliver assets, the value of which exceeds such sum, provided such claim is not covered by insurance, is defended by an insurance company under a reservation of rights or exceeds the limits of coverage of any insurance policy, and the institution of any other suit or proceeding involving any of them that might materially and adversely affect their operations, financial condition, property, or business.
