Notice to Lender definition

Notice to Lender means that certain written notice from Property Owner to Lender, dated May 27, 2010, pursuant to which Property Owner has provided notice to Lender of the Transfer as required by Section 12.2(a)(i) of each of the Mortgage Agreements, a copy of which is attached hereto as Exhibit 1.1(p).
Notice to Lender means a notice substantially in the form attached hereto as EXHIBIT AA-2 advising the applicable Working Capital Lender of the assignment of the lender's interest under the applicable Loan Documents and/or the assignment of the Membership Interest, as the case may be.

Examples of Notice to Lender in a sentence

  • In the event Borrower delivers the Optional Prepayment Amount to Lender prior to the Optional Prepayment Date or without delivering an Optional Prepayment Notice to Lender as set forth herein without Lender’s prior written consent, the Optional Prepayment Amount shall not be deemed to have been paid to Lender until the Optional Prepayment Date.

  • Borrower will give prompt Notice to Lender of any litigation or governmental proceedings pending or, to the best of Borrower’s knowledge, threatened in writing against Borrower or any Borrower Principal which might have a Material Adverse Effect.

  • Borrower will give Notice to Lender of and, unless otherwise directed in writing by Lender, will appear in and defend any action or proceeding purporting to affect the Mortgaged Property, Lender’s security or Lender’s rights under this Loan Agreement.

  • Borrower will promptly give Notice to Lender of the occurrence of any Default or Event of Default hereunder or under any of the other Loan Documents.

  • If any changes to Property Improvement Alterations as described in the Property Improvement Notice are made that extend beyond the overall scope and intent of the Property Improvement Alterations set forth in the Property Improvement Notice (e.g., renovations changed to renovate common areas but Property Improvement Notice only described renovations to the residential unit bathrooms), then Borrower must submit a new Property Improvement Notice to Lender in accordance with this Section 6.09(e)(v)(A).

  • Such cure period for Lender shall be extended for each day Buyer does not provide the Notice to Lender referred to in Section 9.05(a).

  • Borrower shall give prompt Notice to Lender of any Casualty or any Condemnation or threatened Condemnation.

  • If the evidence of a renewal does not include a legible copy of the renewal policy (or duplicate original), Borrower will deliver a legible copy of such renewal policy (or duplicate original) in a form satisfactory to Lender in Lender’s Discretion prior to the earlier of (i) 60 days after the expiration date of the original policy, or (ii) the date of any Notice to Lender under Section 6.10(i).

  • This consent is revocable by Borrower at any time upon Notice to Lender as provided in Section 11.1.

  • Borrower will give prompt Notice to Lender of any litigation or governmental proceedings pending or, to the best of Borrower’s knowledge, threatened in writing against Borrower which might have a Material Adverse Effect.

Related to Notice to Lender

  • Notice of Loan means a Notice of Loan in the form of the attached Exhibit C.

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • Conversion/Continuation Notice is defined in Section 2.9.

  • Notice of Loan Prepayment means a notice of prepayment with respect to a Loan, which shall be substantially in the form of Exhibit 2.05 or such other form as may be approved by the Administrative Agent (including any form on an electronic platform or electronic transmission system as shall be approved by the Administrative Agent), appropriately completed and signed by a Responsible Officer.

  • Designated Borrower Notice has the meaning specified in Section 2.14.

  • Notice of Continuation or Conversion has the meaning provided in Section 2.10(b).

  • Continuation Notice as defined in Section 2.17(a).

  • Borrower Notice means a written notice, in the form of Exhibit A, to be used for each borrowing, repayment of each Advance or termination or reduction of the Facility Amount or Prepayments of Advances.

  • Borrowing Notice is defined in Section 2.8.

  • Reduction Notice has the meaning set forth in Section 1.3.

  • Notice means notice in writing;

  • Rejection Notice has the meaning specified in Section 2.05(b)(v).

  • Funding Notice means a notice substantially in the form of Exhibit A.

  • Notice of Interest Rate Election has the meaning set forth in Section 2.10.

  • Written Notice means a notice or communication in writing and shall be deemed to have been duly served if delivered in persons to the individual or to a member of the contractors firm or to an office of the company for whom it is intended, or if delivered at or sent by registered mail to the last business address known to him who gives the notice.

  • Notice of Conversion or Continuation shall have the meaning provided in Section 2.6(a).

  • Commitment Reduction Notice has the meaning given that term in Section 2.13.

  • Retraction Notice has the meaning set forth in Section 11.01(c).

  • Notice of Extension/Conversion means the written notice of extension or conversion in substantially the form of Schedule 3.2, as required by Section 3.2.

  • Auction Notice has the meaning assigned to such term in the definition of “Dutch Auction”.

  • Acceptance and Prepayment Notice means a notice of the Borrower’s acceptance of the Acceptable Discount in substantially the form of Exhibit M.

  • Notice of Committed Borrowing has the meaning set forth in Section 2.02.

  • Prepayment Notice means a notice by the Borrower to prepay Loans, which shall be in such form as the Appropriate Party may approve.

  • Notice of Borrowing has the meaning specified in Section 2.02(a).

  • Continuation/Conversion Notice means a notice of continuation or conversion and certificate duly executed by an Authorized Officer of the Borrower, substantially in the form of Exhibit C hereto.

  • Request for Loan means a written request for a Loan substantially in the form of Exhibit G, signed by a Responsible Official of Borrower, on behalf of Borrower, and properly completed to provide all information required to be included therein.
