Common use of Notice to Members of Provisions Clause in Contracts

Notice to Members of Provisions. OF THIS AGREEMENT. By executing this Agreement, each Member acknowledges that such Member has actual notice of (a) all of the provisions of this Agreement, including, without limitation, the restrictions on the Transfer of Membership Units set forth in Article VI and the limitations on participation of Members in the management of the Company set forth in Article III, and (b) all of the provisions of the Certificate. Each Member hereby agrees that this Agreement constitutes adequate notice of all such provisions, and each Member hereby waives any requirement that any further notice thereunder be given.
