The Indenture Trustee shall promptly provide notice to each Rating Agency with respect to each of the following of which a Responsible Officer of the Indenture Trustee has actual knowledge or written notice: a) Any material change or amendment to this Agreement; b) The occurrence of any Master Servicer Event of Default that has not been cured; c) The resignation or termination of the Master Servicer, the Indenture Trustee or the Securities Administrator; and d) Any change in the location of the Master Servicer Collection Account.
