Common use of Notices and Approvals Clause in Contracts

Notices and Approvals. All authorizations, approvals, or permits, if any, of, or filings with any governmental authority or regulatory body of the United States or of any state that are required in connection with the lawful issuance and sale of the Shares pursuant to this Agreement shall be duly obtained and all waiting period required by law shall have expired effective as of the Closing.
