Common use of Notices to and from the Rating Agencies Clause in Contracts

Notices to and from the Rating Agencies. The Servicer shall furnish each Rating Agency such information with respect to the Notes as such Rating Agency shall reasonably request and which the Servicer can reasonably provide to the extent consistent with applicable law and the Transaction Documents. In any event, the Servicer shall notify each Rating Agency with respect to each of the following of which it has actual knowledge: (i) any change in the lien priority of the Collateral securing the Notes; (ii) any assumption of, or release or substitution of Collateral for, the Notes; and (iii) the occurrence of an Event of Default under the Indenture.
