Common use of Notices/Violations Clause in Contracts

Notices/Violations. During the time period commencing upon the Effective Date of this Agreement and terminating on the Closing or the earlier termination of this Agreement, Seller shall promptly deliver to Buyer any and all notices and/or other written communications delivered to or received from: (i) any Tenant; (ii) any party under any of the Contracts; and/or (iii) any governmental authority relating to the Property or operation thereof. During the time period commencing upon the Effective Date of this Agreement and terminating on the Closing or the earlier termination of this Agreement, Seller shall deliver to Buyer prompt notice of: (i) the occurrence of any inspections of the Property by any governmental authority; (ii) any default by a party to any Contract; (iii) any default by any party to any Lease; (iv) any notices of violations of laws, ordinances, orders, directives, regulations or requirements issued by, filed by or served by any governmental agency against or affecting Seller or any part or aspect of the Property.

Notices/Violations. During the time period commencing upon the Effective Date of this Agreement and terminating on the Closing or the earlier termination of this Agreement, Seller shall deliver to Buyer prompt notice of: (iA) the occurrence of any inspections of the Property by any governmental authority; (iiB) any actual or alleged default by a party to any Contract; (iiiC) any actual or alleged default by any party to any Lease; (ivD) any notices of violations of laws, ordinances, orders, directives, regulations or requirements issued by, filed by or served by any governmental agency against or affecting Seller or any part or aspect of the Property.

During the time period commencing upon the Effective Date of this Agreement and terminating on the Closing or the earlier termination of this Agreement, Seller shall deliver to Buyer prompt notice of: (i) the occurrence of any inspections of the Property by any governmental authorityauthority that are not in the ordinary course of business; (ii) any actual or alleged default by a party to any ContractContract known to Seller; (iii) any actual or alleged default by any party to any LeaseLease known to Seller; (iv) any notices of violations of laws, ordinances, orders, directives, regulations or requirements issued by, filed received by or served by Seller from any governmental agency against or affecting Seller or any part or aspect of the Property.

During the time period commencing upon from the Effective Date of this Agreement and terminating on to the Closing or the earlier termination of this Agreement, Seller shall promptly deliver to Buyer any and all written notices and/or other written communications delivered by Seller to or received from: (i) any Tenant; (ii) any party under any of the Contracts; and/or (iii) by Seller from any governmental authority relating which could reasonably be expected to have an adverse effect on the Property Property, the transactions contemplated under this Agreement or operation thereofthe business of owning, developing, operating, maintaining or managing the Property. During the time period commencing upon from the Effective Date of this Agreement and terminating on to the Closing or the earlier termination of this Agreement, Seller shall deliver to Buyer prompt notice ofany and all notices and/or other written communications delivered or received by Seller regarding: (iA) the occurrence of any inspections of the Property by any governmental authority; (iiB) any actual or alleged default by a party to any Contract; and/or (iii) any default by any party to any Lease; (ivC) any notices of violations of laws, ordinances, orders, directives, regulations or requirements issued by, filed by or served by any governmental agency against or affecting Seller Seller, Tenant, any Guarantor or any part or aspect of the Property.

During the time period from the Effective Date to the Closing or earlier termination of this Agreement, Seller shall promptly deliver to Buyer any and all notices and/or other written communications delivered to or received fromby Seller regarding: (i) any Tenant; (ii) any party under any of the Contracts; and/or (iii) any governmental authority relating to the Property or operation thereof. During the time period commencing upon the Effective Date of this Agreement and terminating on the Closing or the earlier termination of this Agreement, Seller shall deliver to Buyer prompt notice of: (iA) the occurrence of any inspections of the Property by any governmental authority; (iiB) any actual or alleged default by a party to any ContractContract or the Existing PSA; and/or (iii) any default by any party to any Lease; (ivC) any notices of violations of laws, ordinances, orders, directives, regulations or requirements issued by, filed by or served by any governmental agency against or affecting Seller Owner, Seller, Tenant, any Guarantor or any part or aspect of the Property.
