Notification and Information. During the continuance of the Agreement the Customer shall, or as applicable take reasonable measures to ensure any End User shall:
(1) promptly notify the Company if the Equipment needs maintenance or is not operating correctly. Failure by the Customer or End User (as applicable) so to notify the Company within twenty four (24) hours of the Customer or End User first becoming aware of such failure or incorrect working shall free the Company from all obligations to investigate or correct such failure or incorrect working;
(2) make available to the Company such programs (including manufacturer supplied recovery media), operating manuals and information as may be necessary to enable the Company to perform its obligations hereunder and shall if requested by the Company provide staff familiar with the Customer’s or End User’s (as applicable) software and operations, and such staff shall cooperate fully with the Company’s personnel in the diagnosis of any malfunction of the Equipment;
(3) make available to the Company, free of charge, all facilities and services reasonably required by the Company to enable the Company to perform the Services including without limitation computer runs, memory dumps, print-outs, data preparation, and office accommodation;
(4) provide such telecommunication facilities as are reasonably required by the Company for testing and diagnostic purposes at the Customer’s expense;
(5) keep full security copies of the Customer’s or End User’s (as applicable) software, programs and computer records and carry out appropriate system management functions in accordance with best computing practice. The master copies of software or programs are not to be released by the Customer or End User and the Company is to be given only copies thereof if it requests such software or programs.
Notification and Information. The Buyer shall provide such information regarding the defence of the Third Party Claim as any affected Seller Indemnitee may from time to time reasonably request.
Notification and Information. The Agent will notify the Borrower of the determination of the Borrowing Base on or before each Borrowing Base Date, and will include in such notification the Borrowing Base amount which each Lender determined or re-determined. The Borrowing Base determination will remain in effect until the next re-determination is made as required or permitted under this Agreement. The Borrower will cooperate in all respects in providing the Lenders, through the Agent, in a timely manner with such information as may be required by such Lenders to assist such Lenders in determining the Borrowing Base within the time periods required under this Agreement.
Notification and Information a Make available to Nagios Enterprises, free of charge, such information as may be necessary to enable Nagios Enterprises properly to conduct email and telephone diagnosis as part of the Support Service, and in addition, such programs, operating manuals and information to enable Nagios Enterprises properly to perform its obligations under this Agreement .
Notification and Information. 1. The Agency will determine the length, contents, agenda and delivery method of the orientation. The Union will be included on the agenda for purposes of addressing new bargaining unit employees.
2. The Agency will make every effort to schedule employee orientation during a regularly scheduled work week of Monday through Friday.
3. The Union will be notified in advance of the scheduled dates for employee orientation, normally not less than ten (10) days prior to the orientation session.
4. Employees will be provided a link to the SSA-AFGE National Agreement in their orientation package.
5. Make information available regarding the retirement and Thrift Savings Plan.
Notification and Information. Each Party shall promptly notify the other of any infringement or misappropriation or suspected infringement or misappropriation of any Licensed Asset or (solely with respect to a field to which such other Party has rights pursuant to Section 2.3) any asset or right under a Third-Party License Agreement and any other facts that may affect the validity, scope, or enforceability of any Licensed Asset or (solely with respect to a field in which such other Party is permitted to exercise rights pursuant to Section 2.3) any asset or right under a Third-Party License Agreement, and such notifying Party shall provide the other Party with all information that it may have with respect thereto.
Notification and Information. 75.1 Where the Client’s membership on the relevant exchange is suspended or terminated or the Client is in any other way disabled from trading on the relevant exchange, the Client shall immediately notify uSMART SG in writing of such event.
75.2 The Client shall keep such books, accounts and written records as may be required under all Applicable Law and the rules of the relevant exchange or clearing house in respect of the Client’s Exchange Transactions and all business transacted on or through the relevant exchange or clearing house to which this Clearing Provision, this Agreement or the clearing arrangements hereunder relates. The Client shall promptly make available all such books, accounts and written records, and the Client shall promptly permit the conduct of such inspections by uSMART SG (or such external auditor as uSMART SG may appoint) as uSMART SG may require to monitor and ensure uSMART SG’s or the Client’s compliance with Applicable Law, and the rules of the relevant exchange or clearing house, or as the Client may be required to do so by the relevant exchange or clearing house under and the rules of the relevant exchange or clearing house. The Client shall promptly render its cooperation and assistance, and shall procure that its Representatives, if any, shall promptly render their cooperation and assistance, to uSMART SG or uSMART SG’s external auditor in the conduct and facilitation of such inspection. The Client shall ensure that all of its aforesaid books, accounts and written records are kept in such form as will facilitate inspection of the same by uSMART SG or uSMART SG’s external auditor, and the Client shall promptly make the same available to uSMART SG or uSMART SG’s external auditor (including to take copies thereof) as and when required for the purpose of such inspection. All costs and expenses incurred by the Client in keeping and maintaining such books, accounts and records, and all costs and expenses incurred by the Client or uSMART SG in respect of such inspection, shall be borne wholly by the Client.
75.3 Without prejudice to the generality of Clause 75.2, the Client shall promptly provide to uSMART SG such information as uSMART SG may at any time require in respect of any or all of the Client’s customers, or their respective positions in any Exchange Transaction by or through the Client. uSMART SG may communicate such information to any person as uSMART SG may deem to be necessary, desirable or expedient for compliance with...
Notification and Information. (a) Make available to Klas, free of charge, such information as may be necessary to enable Klas properly to conduct diagnosis as part of the KTAC service, and in addition, such programs, operating manuals and information to enable Klas properly to perform its obligations under this Agreement and shall use its best endeavours to provide staff familiar with the Customer's programs and operations, which staff shall co-operate fully with Klas personnel operating KTAC.
Notification and Information. (a) as soon as reasonably practical notify the Supplier if the Equipment needs maintenance or is not operating correctly. Failure by the Customer to notify the Supplier shall free the Supplier from all obligations to investigate or correct such failure or incorrect working where the Supplier reasonably considers that such failure to be notified by the Customer has materially affected the Supplier's ability to perform the Services or has materially affected the work required to be carried out by the Supplier
(b) subject to Clause 14 (3) promptly make available to the Supplier’s personnel
i) the latest configuration for the Equipment and ii) such programs, operating manuals and information as may be necessary to enable the Supplier to perform its obligations hereunder and shall if requested by the Supplier provide staff familiar with the Customer's programs and operations, which staff shall co-operate fully with the Supplier's personnel in the diagnosis of any malfunction of the Equipment
(c) where the latest Equipment configuration has not been made available to the Supplier’s personnel in b i) above the Supplier shall only be obliged to use its reasonable endeavours to perform a functional fix or replacement. The Supplier reserves the right to charge the Customer for any return visit to complete the operational fix or replacement
(d) at all times keep a record of the use of the Equipment in a form to be approved by the Supplier and at the Supplier’s request provide the Supplier with copies of the entries and allow the Supplier to inspect such record at all reasonable times
(e) if the Supplier is requested to supply any Services in respect of any Additional Equipment, advise the Supplier forthwith of the date of installation of such Additional Equipment at the Location.
Notification and Information. The District agrees to post the covering page(s) of all Council agendas for all regular meetings of Council on the Bulletin Boards provided for Union Business. Copies of all motions, resolutions, bylaws or rules and regulations adopted by Council and regular meeting minutes which affect the members of the Union will be made available to the Union upon request.
