Notification by Administrative Agent; Amendments. The Administrative Agent shall promptly notify the Company and the Lenders of the amount and effective date (the “New Term Loans Funding Date”) of any New Term Loan. Notwithstanding anything in this Agreement to the contrary, in connection with any New Term Loan, this Agreement and the other Loan Documents may be amended in a writing executed and delivered by the Company and the Administrative Agent (without any further consent of Required Revolving Lenders or Required Term A Lenders that would otherwise be required under Section 10.01) to reflect any changes (including, without limitation, changes to Section 10.01 and the definitions related thereto) necessary to give effect to such New Term Loan in accordance with its terms as set forth herein, which may include the addition of such New Term Loans as a separate facility, permit sharing set forth in Section 2.13 in a manner consistent with the treatment hereunder of the Term A Facility, and to otherwise (subject to the proviso to Section 2.17(a)) treat such New Term Loans in a manner consistent with the Term A Loans.

Notwithstanding anything in this Agreement to the contrary, in connection with any New Term Loan, this Agreement and the other Loan Documents may be amended in a writing executed and delivered by the Company Borrower and the Administrative Agent (without any further consent of Required Revolving Lenders or Required Term A Lenders that would otherwise be required under Section 10.01) to reflect any changes (including, without limitation, changes to Section 10.01 and the definitions related thereto) necessary to give effect to such New Term Loan in accordance with its terms as set forth herein, which may include the addition of such New Term Loans as a separate facility, permit sharing set forth in Section 2.13 2.10 in a manner consistent with the treatment hereunder of the Term A Facility, and to otherwise (subject to the proviso to Section 2.17(a2.12(a)) treat such New Term Loans in a manner consistent with the Term A Loans.

Notwithstanding anything in this Agreement to the contrary, in connection with any New Incremental Term LoanFacility, this Agreement and the other Loan Documents may be amended in a writing executed and delivered by the Company Loan Parties, the Persons providing such Incremental Term Facility and the Administrative Agent (without any further consent of Required Revolving Lenders or Required Term A Lenders that would otherwise be required under Section 10.01) to reflect any changes (including, without limitation, changes to Section 10.01 and the definitions related thereto) necessary to give effect to such New Incremental Term Loan Facility in accordance with its terms as set forth herein, which may include the addition of such New Incremental Term Loans Facility as a separate facility, permit sharing set forth in Section 2.13 in a manner consistent with the treatment hereunder of the other Term A FacilityLoans, and to otherwise (subject to the proviso to Section 2.17(a)) treat such New Incremental Term Loans under such Incremental Term Facility in a manner consistent with the other then-existing Term A Loans.
