Notification of Breaches. The Recipient will immediately notify Council if an event occurs which does or may: (a) constitute a material breach of any term of this Agreement or render any warranty contained in this Agreement incorrect or untrue in any respect; or (b) adversely impact in any way on the performance of the Recipient’s obligations under this Agreement.
