Notification of Changes in Ownership. 15.2.1 Developer shall provide the Authority with at least twenty (20) Business Days' prior written notice of any Change in Ownership. 15.2.2 For the purposes of this Section 15.2, any change in legal or beneficial ownership of any shares that are listed on a recognized investment exchange shall be disregarded. 15.2.3 Developer agrees to reimburse the Authority for all reasonable out-of- pocket expenses (including, without limitation, reasonable and proper fees of consultants and legal counsel) incurred by the Authority in connection with its review of any Change in Ownership notified to it in accordance with Section 15.2.1.
