Common use of Notification of Payment Adjustments Clause in Contracts

Notification of Payment Adjustments. Each of the Contractor and the Province shall notify the other in a timely manner upon becoming aware of circumstances that give rise to a Payment Adjustment. Failure by either party to give such notice in a timely manner shall not in any event disqualify the Province (or, in the case of the Traffic Volume Adjustment, the Contractor) from claiming the Payment Adjustment, but either party may assert against the other a claim for any damages resulting from the failure to give notice in a timely manner.
