Notwithstanding Clause. 19.16, if Malicious Software is found, the Supplier shall co-operate with the Customer to reduce the effect of the Malicious Software and, particularly if Malicious Software causes loss of operational efficiency or loss or corruption of Customer Data, assist the Customer to mitigate any losses and to restore the provision of the Services to its desired operating efficiency as soon as possible.
Notwithstanding Clause. 28.7, a full-time employee whose employment is terminated by reason of a declaration that he has abandoned his position is entitled to receive the payment referred to in Clause 28.6, if he requests it within six (6) months following the date upon which his employment is terminated.
Notwithstanding Clause. 2.1 the Master Agreement shall remain fully effective and unamended, in relation to the supply of any goods and or services other than the Service.
Notwithstanding Clause. 8.1, the Service Provider shall indemnify, keep indemnified and hold harmless the Authority from and against all Losses which the Authority or where TfL is the Authority the TfL Group incur or suffer, whenever such Losses may arise or be brought by the Service Provider’s Personnel or any person who may allege to be the same.
Notwithstanding Clause. 13.3.1 above, Adobe may terminate this Agreement immediately, upon written notice to Reseller:
(a) for Xxxxxxxx’s breach of:
(1) Clause 3 (License Restrictions);
(2) Clause 6.6 (Reseller’s Representations and Warranties);
(3) Clause 6.7 (Ethical Conduct and Compliance);
(4) Clause 8 (Ownership of Intellectual Property Rights);
(5) Clause 9 (Confidentiality);
(6) Clause 14.2 (Assignment);
(b) upon being advised by Reseller that Xxxxxxxx has become aware of information that would alter any warranty or representation made by Reseller pursuant to Clause 6.6 (Reseller’s Representations and Warranties); or
(c) upon occurrence of a Breach under Clause 6.5 (Data Protection and Privacy).
Notwithstanding Clause. 22.06(a) above, the University may, on the termination of employment, elect to pay a ASM-CFE, Librarian or Counselling Faculty Member in lieu of vacation an amount equivalent to the amount of Basic Annual Salary the ASM-CFE, Librarian or Counselling Faculty Member would earn if the ASM-CFE, Librarian or Counselling Faculty Member were to continue employment with the University for a period equal to the duration of vacation leave accrued as of the time of termination. In order to exercise this option, the University shall notify the ASM-CFE, Librarian or Counselling Faculty Member at least twenty (20) days prior to the date on which the vacation would otherwise commence.
22.07 ASMs other than Librarians and Counselling Faculty Members may take their vacation leave at any time outside the period required for their normal course commitments subject to the prior notification of the Administrative Head. Vacation leave at any other time shall be granted only with the written approval of the Administrative Head. Such approval shall not be unreasonably denied.
22.08 An ASM, while on a twelve (12) month sabbatical leave, shall be deemed to have taken one (1) year's vacation entitlement.
22.09 ASMs shall be entitled to the following paid University holidays:
(a) Labour Day
(b) Thanksgiving Day
(c) Remembrance Day
(d) Christmas Eve
(e) Christmas Day
(f) Boxing Day
(g) New Year’s Eve
(h) New Year's Day
(i) Second January Holiday
Notwithstanding Clause. 4.1 above, a purchase may also be effected by providing the Authorised Merchant the Credit Card Number together with such other particulars as may be recorded on the Credit Card and without the requirement of the Cardmember’s signature as in the case of purchases made through Electronic Commerce, Mail Order, Telephone Order and at specific Point of Sale Terminals including but not limited to transactions at petrol kiosks and/or through such other modes that may be introduced/ implemented by Maybank as and when Maybank may in its absolute discretion from time to time.
Notwithstanding Clause. 43.1, if Malicious Software is found, the Parties shall cooperate to reduce the effect of the Malicious Software and, particularly if Malicious Software causes loss of operational efficiency or loss or corruption of Customer Data, assist each other to mitigate any losses and to restore the Services to their desired operating efficiency.
Notwithstanding Clause. 43.5 but subject to Clause 43.3, the Supplier acknowledges and agrees that the Authority may, amongst other things, recover from the Supplier the following Losses incurred by any Commissioning Body to the extent that they arise as a result of a Default by the Supplier:
43.6.1 any additional operation and/or administrative costs and expenses incurred by a Commissioning Body, including interim operational services and the costs relating to time spent by or on behalf of a Commissioning Body in dealing with the consequences of the Default;
43.6.2 the additional cost of procuring Replacement Services for the remainder of the Contract Period and/or replacement Deliverables, which shall include both the respective Commissioning Bodies' internal cost of undertaking the procurement process and the costs payable to the Replacement Supplier(s) for the particular Replacement Services and/or replacement Deliverables;
43.6.3 any wasted expenditure or charges; and
43.6.4 any fine or penalty incurred by a Commissioning Body pursuant to Law and any costs incurred by a Commissioning Body in defending any proceedings which result in such fine or penalty.
Notwithstanding Clause. 66.2, the Engineer may decide not to include a sum payable to the Contractor pursuant to the Contract in a Cost Centre Value in which case the Engineer shall notify the Contractor of the decision and the Contractor may apply for payment of the sum in accordance with Clause 67.1(b).
