Novartis Representations and Warranties. Novartis represents and warrants to Subtenant that; (i) the Xxxxxxxxx is in full force and effect; (ii) Novartis has received no notice of default from Overlandlord and, to the best of Novartis’s knowledge, there exist no conditions, circumstances or state of facts that would constitute, a default by Overlandlord or Novartis under the Xxxxxxxxx; (iii) a true and complete copy of the Xxxxxxxxx and all exhibits, schedules and amendments thereto are annexed to this Sublease as Exhibit H, and (iv) Novartis has not received any written notice that any work is required under the Xxxxxxxxx or by applicable law to be done in the Sublease Premises; and (v) Novartis has not received any written notice of violation of any laws, ordinances, codes, rules, regulations or requirements affecting the Sublease Premises.
Novartis Representations and Warranties. Novartis hereby represents that, as of the Effective Date: 11.2.1 Novartis has the right to grant the rights granted to Amgen under this Agreement, and no rights granted to Amgen pursuant to this Agreement are in violation of any agreement between Novartis or any of its Affiliates and any Third Party; 11.2.2 As of the Effective Date, it has sufficient legal and/or beneficial title and ownership under the Novartis Technology, Novartis Product Trademarks (if any) and Novartis Housemarks to grant the licenses to the other Party as purported to be granted pursuant to this Agreement; and 11.2.3 Novartis is part of the Novartis AG group of companies (“Novartis Group”), Novartis AG owns, directly or indirectly, all of the shares and ownership interests in Novartis, and Novartis [*]. 11.3
