Number constituting quorum. Subject to clause 5.2 of this Schedule, no business is to be transacted at any meeting unless a quorum is present when the meeting proceeds to business. A quorum is a representative of not less than three Limited Partners having the right to vote at the meeting (present in person or by proxy), excluding a Defaulting Partner, where that Defaulting Partner is suspended in accordance with clause 13.
